Direct+ Consumer Terms of Service ("Terms")

1. Acceptance of Terms

By accessing or using any Roomza, Inc. or Direct+ site, app, widget, or by claiming or redeeming any Incentive payment, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Platform and do not redeem the Incentive.

Relationship With the Lodging Provider. Direct+ is a service provider acting on behalf of the lodging provider you have booked. Your lodging contract is solely with the lodging provider; Direct+ does not own, manage, or operate any accommodation and is not an online travel agency (OTA). Direct+ facilitates Incentive payments, program benefits, and guest communications as an agent of the lodging provider, but it does not provide, control, or guarantee the quality or availability of lodging services.

Data Ownership. All reservation and stay data you provide is owned by the lodging provider. The lodging provider shares that data with Direct+ under a service agreement for the limited purposes of administering Incentives, guest communications, and platform analytics. Direct+ will use your data only as permitted by the lodging provider and applicable law.

2. Eligibility & Account

You must be at least 18 years old and capable of forming a binding contract. You do not need to manually create a Direct+ account. When you make a qualifying booking with a participating lodging provider, Direct+ automatically creates a loyalty record keyed to the email address used for that reservation. That email address is your Account ID and the destination for all Incentive notifications and payout instructions.

Use one consistent email address for all Direct+ bookings. If you book stays using multiple email addresses, Direct+ may treat each address as a separate account, which can delay Incentive aggregation and payout. You are responsible for maintaining access to your chosen email inbox and for safeguarding any login credentials should you elect to set a password or add a phone number for two‑factor authentication.

3. How Direct+ Works

When you book a qualifying stay through a participating lodging provider’s direct channel, Direct+ credits you 3 %, 5 %, 7 %, or 10 % of your Net Room Rate (as set by the lodging provider) after checkout. Incentive payments are fulfilled by Tremendous and delivered as (a) virtual Visa (no fee) or (b) ACH, PayPal, Venmo, or physical prepaid card (nominal processing fee disclosed at redemption).

4. Incentive Conditions

4.1 You must book through the lodging provider’s official website, its primary booking engine, or another "direct" channel that the lodging provider has designated as eligible for Direct+ benefits.

4.2 You must complete the stay in full and pay the lodging provider in accordance with its policies.

4.3 Incentive is calculated on the room rate before taxes, fees, or incidentals.

4.4 If you cancel, modify, or no‑show, the Incentive is forfeited.

4.5 Direct+ may withhold or reverse an Incentive if fraud, chargeback, or error is suspected.

5. Redemption & Expiration

5.1 Incentives become available for redemption within seventy‑two (72) hours after checkout (subject to review).

5.2 When you initiate redemption, Tremendous issues a payout link (e.g., virtual Visa, ACH, PayPal, Venmo, or prepaid card). Each payout link is generally valid for twelve (12) months from the date of issuance, as determined by Tremendous, and this validity period is subject to change by Tremendous without notice. If you fail to claim the payout before the link expires, the Incentive payment may be FORFEITED. You can contact Direct+ support to request a new payout link, but re‑issuance IS NOT GUARANTEED and will depend on processor policies and Direct+ and/or Lodging Provider approval.

5.3 Unredeemed Direct+ balances (including funds returned after an expired payout link) will remain available for redemption for the period specified by the payout processor in effect at the time (currently twenty‑four (24) months from the checkout date that generated the Incentive, subject to change by the processor without notice).

5.4 Balances under USD 1 remain pending until accrual exceeds that amount.

6. Fees & Taxes

No fee is charged by Direct+ for redemption via virtual Visa. Other payout methods may carry pass‑through processing fees from Tremendous, disclosed at redemption. Payouts are further governed by Tremendous’s Terms of Service; Direct+ disclaims responsibility for Tremendous’s platform or transfer timelines.

If your total Incentive payments in a calendar year meet or exceed the threshold that triggers tax‑reporting obligations under applicable law (for example, the U.S. IRS Form 1099‑K or successor requirement), Direct+ or Tremendous may require you to complete Know‑Your‑Customer (KYC) verification, provide your taxpayer identification number, and execute any tax forms reasonably necessary for compliance. Incentive payments may be withheld, delayed, or reversed until the requested information is provided.

You are solely responsible for any income or other taxes arising from receipt of an Incentive.

7. Prohibited Conduct

You agree not to: (a) engage in fraudulent bookings or account manipulation; (b) reverse‑engineer or disrupt the Platform; (c) use the Platform in violation of law; or (d) create multiple accounts to accumulate Incentives.

7.1 Enforcement Measures. Direct+ reserves the right to suspend, permanently ban, or otherwise restrict any user who violates these Terms or attempts to manipulate the Incentive system.

7.2 Fraud and Collections. Any suspected fraudulent reservation, Incentive claim, or payment manipulation will be reported to the appropriate law‑enforcement agencies and prosecuted to the fullest extent permitted by law. Improperly paid or clawed‑back Incentives that remain outstanding may be referred to third‑party collection agencies, and Direct+ may report the delinquency to consumer credit‑reporting agencies in accordance with applicable law.

8. Intellectual Property

All Platform content is owned by Direct+ or its licensors. You receive a limited, non‑transferable license to access and use the Platform for personal, non‑commercial purposes.

9. Mobile Services

Your carrier’s data and messaging rates may apply. The app may send push notifications, which you can disable in device settings.

10. Third‑Party Links

The Platform may link to third‑party sites. Direct+ is not responsible for their content, availability, or practices.

11. Disclaimers

Direct+ relies on third‑party payment processors (Tremendous, Stripe) to provide certain services. Those processors operate under their own terms and are solely responsible for their platforms. Direct+ is not liable for any act or omission of Tremendous or Stripe. THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DIRECT+ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. DIRECT+ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR‑FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECT+ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. DIRECT+’S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (i) USD 500 OR (ii) THE INCENTIVES EARNED BY YOU IN THE PRECEDING TWELVE (12) MONTHS.

13. Dispute Resolution; Mandatory Arbitration; Class Action Waiver

13.1 Arbitration Requirement. YOU AND DIRECT+ AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR YOUR RELATIONSHIP WITH DIRECT+ (collectively, a "Dispute") SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, NOT IN COURT, except that either party may bring an individual action in the Delaware Justice of the Peace Court (small‑claims division) for claims within that court’s jurisdiction.

13.2 Arbitration Rules & Forum. The arbitration shall be administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules, as modified by this Section. The arbitration shall be conducted by a single neutral arbitrator seated in Wilmington, Delaware. The arbitrator has exclusive authority to resolve all gateway issues, including disputes about the scope, enforceability, or formation of this arbitration agreement.

13.3 Class and Representative Action Waiver. YOU AND DIRECT+ AGREE TO ARBITRATE SOLELY ON AN INDIVIDUAL BASIS. NO CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE‑ATTORNEY‑GENERAL, OR REPRESENTATIVE ACTION IS PERMITTED. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

13.4 Opt‑Out Right. You may opt out of this arbitration agreement by emailing legal@directplus.com within thirty (30) days after you first agree to these Terms. If you timely opt out, neither you nor Direct+ will be bound by this arbitration agreement.

13.5 Exclusive Venue for Non‑Arbitrable Claims. If a particular Dispute is found by a court of competent jurisdiction not to be arbitrable, you and Direct+ irrevocably consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware for the resolution of that Dispute.

13.6 Survival. This Section survives termination of these Terms and cessation of your use of the Platform.


14. Governing Law

These Terms are governed by Delaware law, without regard to conflict‑of‑laws principles.


15. Modifications

Direct+ may update these Terms by posting a revised version and updating the "Last Updated" date. Continued use signifies acceptance.
